Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Ayako (the “Service”), operated by Andrea Donatsch, a sole proprietorship (Einzelfirma) registered in Switzerland, of Seftigenstrasse 47, 3007 Berne, Switzerland (“Ayako,” “we,” “us”).

By creating an account or using the Service, you agree to these Terms. If you’re using Ayako on behalf of a company, you’re confirming you have the authority to bind that company to these Terms.

1. What Ayako is

Ayako is a read-only LinkedIn Ads monitoring and analytics tool. It connects to your LinkedIn Ads account via LinkedIn’s official OAuth process, syncs your campaign performance data, and provides:

  • A dashboard of campaign performance and trends
  • Automated health checks that flag potential issues
  • AI-generated recommendations and insights
  • A conversational assistant you can ask questions about your account
  • Scheduled email digests and critical alerts
  • Downloadable performance reports

Ayako never modifies, pauses, edits, or takes any action on your LinkedIn Ads account. All access is read-only. Any change to your campaigns, budgets, or ads must be made by you directly in LinkedIn Campaign Manager.

Ayako is not affiliated with, endorsed by, or sponsored by LinkedIn Corporation. “LinkedIn” is a trademark of LinkedIn Corporation.

2. Eligibility & accounts

The Service is offered to businesses and professionals only. By creating an account, you represent that you are acting in the course of your trade, business, or profession — not as a consumer.

You must be at least 18 years old and have the authority to connect the LinkedIn Ads account you use with Ayako (i.e., you’re an authorized user of that ad account, or your employer/client has authorized you to connect it). You’re responsible for keeping your login credentials confidential and for all activity under your account.

3. Plans, pricing & billing

3.1 Plans. Ayako offers two subscription plans:

  • Solo — 1 user seat.
  • Team — up to 3 user seats, sharing one LinkedIn Ads connection and one subscription.

Current pricing is shown at checkout and on our pricing page, and is billed either monthly or annually (with a discount for annual billing). We may change our pricing going forward; any change will apply from your next renewal, not retroactively, and we’ll give reasonable notice beforehand.

3.2 Free trial. New accounts get a 14-day free trial with full access to the Service and no credit card required upfront. At the end of the trial, you’ll need to subscribe to continue using the Service. If you don’t, your account is frozen, not deleted — your data is retained for a grace period (see our Privacy Policy) in case you decide to subscribe later.

3.3 Billing. All payments are processed by Paddle.com Market Ltd, our payment provider and merchant of record. Paddle handles billing, invoicing, and applicable sales tax/VAT collection and remittance on our behalf. Subscriptions renew automatically at the end of each billing period unless cancelled beforehand. By subscribing, you also agree to Paddle’s own terms governing the payment transaction itself.

3.4 Cancellation. You (or your account’s designated admin) can cancel at any time from your account settings. Cancelling stops future renewals; you keep access through the end of the period you’ve already paid for.

3.5 Failed payments. If a renewal payment fails, your access is suspended immediately and we’ll email you to let you know and point you to updating your payment method. Our payment provider retries the payment automatically for up to 30 days; if a retry succeeds, your access is restored automatically, with nothing further needed from you. Your data remains safe and untouched throughout this process (see our Privacy Policy).

4. Acceptable use

You agree not to:

  • Use the Service for any account you’re not authorized to access
  • Attempt to circumvent, reverse-engineer, or interfere with the Service or its security
  • Resell, sublicense, or provide the Service to third parties outside your own Team plan seats
  • Use the Service in a way that violates LinkedIn’s own terms of service for your ad account
  • Use the Service for any unlawful purpose

We may suspend or terminate accounts that violate this section.

5. Your data & content

You retain ownership of your LinkedIn Ads data and any content you provide to Ayako (e.g., your Ideal Customer Profile inputs, chatbot questions). By using the Service, you grant Ayako a limited license to process that data solely to provide the Service to you, as described in our Privacy Policy.

AI-generated content is a decision-support tool, not a guarantee. Recommendations, health check flags, and chatbot answers are generated by an AI system based on your synced data. They’re intended to help you make better decisions faster — they are not guaranteed to be complete, accurate, or suited to every situation, and you remain responsible for any actions you take in your LinkedIn Ads account.

6. Third-party services

The Service depends on LinkedIn’s API to function, Paddle for billing, and Anthropic’s Claude API to power AI features. We’re not responsible for outages, changes, or limitations imposed by these third parties that are outside our control (e.g., a LinkedIn API change or outage affecting sync). We’ll make reasonable efforts to keep the Service working and to communicate any material disruption.

7. Intellectual property

Ayako, its software, branding, and the specific presentation of your data (dashboards, health check logic, report formats) are our intellectual property. These Terms don’t transfer any ownership of the Service itself to you — only a right to use it as intended, for as long as your subscription is active.

8. Term & termination

These Terms apply for as long as you have an Ayako account. We may suspend or terminate your access if you materially breach these Terms (including Section 4) and don’t fix the issue within a reasonable time after we notify you, or immediately in cases of serious misuse. You may stop using the Service and cancel your subscription at any time (Section 3.4).

On termination, your data is handled per our Privacy Policy’s retention terms (a grace period, then deletion).

9. Disclaimers

The Service is provided “as is” and “as available.” To the maximum extent permitted by Swiss law, we disclaim all warranties, express or implied, including any warranty that the Service will be uninterrupted, error-free, or that it will achieve any particular business outcome (e.g., a specific improvement in ad performance, cost, or leads). Ayako is an analytics and decision-support tool — the results of any advertising decisions you make remain your responsibility.

10. Limitation of liability

To the maximum extent permitted by applicable law, Ayako’s total liability for any claim arising out of or relating to the Service is limited to the amount you paid us in the 12 months preceding the claim. We are not liable for indirect, incidental, or consequential damages (such as lost profits or lost advertising spend), even if we were advised such damages were possible.

The above limitations do not apply to liability for unlawful intent or gross negligence (Art. 100 para. 1 Swiss Code of Obligations), to liability for death or personal injury, or in any other case where liability cannot be excluded or limited under mandatory applicable law.

11. Governing law & disputes

These Terms are governed by the laws of Switzerland, without regard to conflict-of-law principles. The exclusive place of jurisdiction for any dispute arising out of or relating to these Terms is Bern, Switzerland.

Mandatory consumer protection rules remain unaffected: if, notwithstanding Section 2, you qualify as a consumer under mandatory law of your country of residence, nothing in this section deprives you of the protection of those rules or of your right under the Lugano Convention to bring or defend proceedings in the courts of your place of residence.

12. Changes to these Terms

We may update these Terms as the Service evolves. Material changes will be communicated by email or an in-product notice, with reasonable advance notice where practical. Continuing to use the Service after a change takes effect means you accept the updated Terms.
